1. Agreement
These Terms of Service are an agreement between you and Prokvik LLC, a New Mexico limited liability company. Prokvik LLC publishes Gratuvia and operates gratuvia.app.
By downloading, installing, accessing, or using Gratuvia, you agree to these Terms and the Privacy Policy. If you do not agree, do not use Gratuvia.
2. Gratuvia features
Gratuvia can record shifts, schedules, tips, tokes, gratuities, hourly wages, tip sharing, payroll settings, paycheck estimates, paycheck history, OCR results, and related work records. It can also create encrypted portable backups.
A feature can change, move to a paid tier, remain limited to a beta build, or be removed. Availability can also differ by operating system or device.
3. Paycheck, tax, and earnings estimates
Gratuvia is not an employer, payroll processor, accountant, tax preparer, attorney, bank, benefits administrator, or government agency. Its calculations are personal recordkeeping and estimation tools.
An estimate can differ from an actual paycheck because employers and payroll systems can use different tax tables, rounding rules, deduction timing, benefit treatment, pay-period rules, tip reporting, or other payroll inputs. Gratuvia does not decide whether an employer paid or withheld the correct amount.
Use official pay stubs, payroll records, tax forms, and qualified professional advice for decisions that require an official or legally reliable amount.
4. OCR results
Gratuvia can use optical character recognition to suggest fields from supported tip slips and other supported documents. OCR can fail because of glare, blur, cropping, handwriting, low contrast, damaged paper, unusual layouts, or a recognition error.
Review every OCR result before saving it. A value shown by OCR is not proof that the source document contains that value. A failed OCR pass is not proof that the document lacks the field.
5. Your records
You are responsible for the information you enter, import, confirm, or save in Gratuvia. Keep any official records you need for taxes, payroll disputes, employment matters, benefits, or other legal purposes.
Gratuvia can preserve original tip-slip images and historical entries, but the app is not a substitute for records an employer, payroll provider, financial institution, tax authority, or court requires you to keep.
6. Local storage and backups
The current core app stores its main work and earnings record on the device. Prokvik cannot recover a local-only record that Prokvik never received.
Gratuvia can create an encrypted portable backup. You are responsible for storing the backup file and its separate recovery key. If the recovery key is lost, Prokvik cannot decrypt the backup for you.
Device failure, theft, deletion, operating-system behavior, storage corruption, or user action can cause data loss. Keep another copy of records you cannot afford to lose.
7. Acceptable use
Do not use Gratuvia to break the law, violate another person's rights, distribute material you do not have a right to share, gain unauthorized access to a service, overload an online Gratuvia service, or present Gratuvia output as an official payroll, tax, employer, bank, or government record.
Do not interfere with Gratuvia's security or attempt to bypass access controls. Reverse engineering is prohibited only to the extent applicable law allows that restriction.
8. Paid features and subscriptions
Gratuvia can offer optional paid features or subscriptions. The purchase screen will show the price, billing period, trial terms, renewal terms, and included features before you buy.
Apple App Store or Google Play can process billing, cancellation, renewal, and refunds for purchases made through those stores. Their rules apply to store-managed transactions.
Prokvik can change prices or paid features for future billing periods. Notice will be provided when required by law or the app store handling the subscription.
9. Ownership
Prokvik LLC or its licensors own Gratuvia's software, design, branding, documentation, and service content. Applicable copyright, trademark, and other intellectual-property laws protect those materials.
You keep your rights in the records, images, and notes you create or import. If you choose to send content through an optional online service, you give Prokvik the limited permission needed to process that content for the feature you selected, subject to the Privacy Policy.
10. Third-party services
Gratuvia can depend on operating-system features, app stores, device manufacturers, hosting providers, email providers, or storage services you choose. Those companies operate under their own terms and privacy policies.
Prokvik is not responsible for a third party's outage, pricing, policy change, account restriction, security failure, or service discontinuation.
11. Beta and test builds
A beta, preview, internal-testing, or pre-release build can contain bugs, missing features, performance problems, or data-format changes. Do not keep the only copy of an irreplaceable record in a test build.
12. Updates and feature changes
Prokvik can add, change, suspend, or remove a feature. An update can also be required for security, operating-system compatibility, legal compliance, or continued access to an online service.
13. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRATUVIA IS PROVIDED "AS IS" AND "AS AVAILABLE." PROKVIK DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION TO THE EXTENT THOSE WARRANTIES CAN LEGALLY BE DISCLAIMED.
Prokvik does not warrant that OCR, payroll estimates, tax estimates, forecasts, backups, or other outputs will be complete, accurate, or suitable for a particular decision.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROKVIK LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST WAGES, LOST DATA, LOST RECORDS, BUSINESS INTERRUPTION, TAX LIABILITY, OR EMPLOYMENT-RELATED LOSSES ARISING FROM OR RELATED TO GRATUVIA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROKVIK'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO GRATUVIA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROKVIK FOR GRATUVIA DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
Some jurisdictions do not allow certain warranty exclusions or liability limits. Those limits apply only to the extent the law in your jurisdiction permits them.
15. Indemnity
To the extent permitted by law, you agree to indemnify and hold Prokvik harmless from third-party claims, damages, and reasonable costs caused by your unlawful misuse of Gratuvia, your violation of these Terms, or content you submit in violation of another person's rights. This section does not require indemnification for Prokvik's own unlawful conduct where the law prohibits that result.
16. New Mexico law and disputes
New Mexico law governs these Terms without applying conflict-of-law rules, except where consumer law requires a different result. Before filing a formal dispute, you can contact admin@prokvik.com and give Prokvik a chance to address the issue.
Subject to rights that cannot be waived under applicable law, a dispute relating to these Terms or Gratuvia can be brought in a court with jurisdiction in New Mexico.
17. Changes to these Terms
Revised Terms will be posted at this URL with a new effective date. A material change to your rights will receive any additional notice required by law or the app store distributing Gratuvia.
18. General terms
If one provision is unenforceable, the rest of the Terms remain in effect to the extent permitted by law. A failure to enforce one provision is not a waiver of that provision.
You cannot transfer these Terms in a way that creates obligations for Prokvik without Prokvik's consent. Prokvik can assign these Terms as part of a merger, acquisition, restructuring, or transfer of the Gratuvia business, subject to applicable law.
